By accessing or using the Simplify Health platform ("Service") operated by Simplify Health Inc. ("Company", "we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Simplify Health is a dental referral management platform that enables dental professionals to submit, track, and manage patient referrals. The Service uses artificial intelligence to extract patient information from referral documents and facilitates communication between referring dentists and specialist practices.

3. User Accounts

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Submit referral information without proper patient consent
• Access or attempt to access another user's account or data
• Interfere with or disrupt the Service or servers
• Use automated tools to access the Service without authorization
• Reverse engineer, decompile, or disassemble any part of the Service

5. Patient Information & Consent

By submitting patient information through the Service, you represent and warrant that:

• You have obtained all necessary consents from the patient to collect, use, and disclose their personal information as described in our Privacy Policy
• The information provided is accurate and complete to the best of your knowledge
• Your use of the Service complies with all applicable privacy laws, including PIPEDA and applicable provincial health information legislation

6. Intellectual Property

The Service and its original content, features, and functionality are owned by Simplify Health Inc. and are protected by international copyright, trademark, and other intellectual property laws.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Simplify Health Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or other intangible losses, resulting from your use of or inability to use the Service.

8. Disclaimer

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, expressed or implied, regarding the Service's reliability, accuracy, availability, or fitness for a particular purpose. AI-extracted patient information should be verified for accuracy before reliance.

9. Indemnification

You agree to indemnify and hold harmless Simplify Health Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service or violation of these Terms.

10. Termination

We may terminate or suspend your account and access to the Service at our sole discretion, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the Service will immediately cease.

11. Modifications

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our platform. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Canada and the applicable province, without regard to conflict of law principles.
